Business Tax

Business Tax

Ann provides clear and practical advice on how UK tax affects businesses and business transactions.

Complicated tax issues can arise unexpectedly and, if not dealt with properly, can frustrate business decision-making. Wherever possible, tax advice needs to facilitate the desired business outcome, not obstruct it.

Ann has experience in the UK tax aspects of:

  • buying, selling or reorganising a business
  • company acquisitions and sales, including drafting and negotiating tax deeds and tax warranties and obtaining any necessary tax clearances
  • conversion of a business entity from a limited company to a limited liability partnership
  • returning capital to shareholders
  • setting up a business in the UK

Property Tax

Property Tax

Ann has particular expertise in UK tax as it applies to property matters and, as a solicitor, understands the property law aspects too.

Most taxes impinge on property transactions, so a property tax adviser needs to be well versed in them all to make sure there are no nasty surprises or unintended consequences.

Ann has been consulted extensively on all aspects of stamp duty land tax since its introduction in 2003.  Apart from advising on SDLT issues, Ann has:

  • litigated a multi-million pound claim for capital allowances on in-store electrical systems for a large retail client
  • provided VAT planning advice on the construction of a new wing to a national art gallery
  • advised on extracting properties from a company
  • been consulted on the tax ramifications of lease extensions and variations
  • advised a bank on the VAT consequences of exercising its statutory power of sale over a mortgaged property
